Welcome to EvolveBioPepTech (“EvolveBioPepTech,” “we,” “our,” or “the Platform”).

These Terms of Use (“Terms”) govern your access to and use of our website, partner resources, documentation, product and inventory feeds, APIs, automation tools, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree, you must not access or use the Platform.

1. Purpose of the Platform

EvolveBioPepTech is a managed technical integration platform for approved partners selling products supplied by Evolve BioPep.

The Platform provides access to:

  • Supplier-controlled product data feeds

  • Inventory synchronization

  • Order submission and fulfillment routing tools

  • Documentation and onboarding resources

  • Technical and platform support

EvolveBioPepTech does not sell products directly and does not process customer payments.
Product fulfillment is provided solely by Evolve BioPep.

2. Eligibility

Use of the Platform is restricted to:

  • Authorized and approved partners

  • Businesses approved by EvolveBioPepTech and Evolve BioPep

  • Individuals acting on behalf of such businesses

By using the Services, you represent and warrant that:

  • You are at least 18 years of age

  • You are legally permitted to access and use the Services

  • You are not accessing the Platform for competitive intelligence, data mining, or reverse engineering

  • All information you provide is accurate and current

3. Partner Accounts & Credentials

Approved partners may be issued:

  • Platform login credentials

  • API tokens or keys

You are responsible for:

  • Maintaining the confidentiality of all credentials

  • Restricting access to authorized personnel only

  • All activity conducted under your account or credentials

You must notify us immediately of any suspected unauthorized access.

We reserve the right to suspend or terminate accounts at our discretion, including for security, compliance, or operational reasons.

4. Use of Data, Feeds, and APIs

The Platform provides access to product data, inventory data, and technical resources (“Data”).

Permitted Use

You may use Data solely to:

  • Operate your approved storefront

  • Display supplier-approved products

  • Submit orders for fulfillment

  • Maintain compliance with all research-only and labeling requirements

Prohibited Use

You may not:

  • Misrepresent products or their intended purpose

  • Modify Data in a manner that violates compliance requirements

  • Use Data for competitor analysis or benchmarking

  • Resell, redistribute, or sublicense Data

  • Share feed access or API credentials with third parties

  • Attempt to reverse engineer, exploit, or disrupt the Platform

We may monitor Data usage for security, integrity, and compliance purposes.

5. Research-Only Product Compliance

All product information provided through the Platform relates to products classified as:

For Laboratory Research Use Only — Not for Human Consumption

Products:

  • Are not approved by the FDA

  • Are not dietary supplements, drugs, or medical products

  • Must not be marketed as treatments, cures, or therapies

You agree to maintain all required disclaimers and compliance language on your storefront and marketing materials.

Failure to comply may result in immediate suspension or termination of access to the Platform.

6. Order Submission & Fulfillment

The Platform provides tools that allow partners to forward customer orders to Evolve BioPep for fulfillment, including:

  • REST API submission

  • CSV-based submission

  • Other approved automation methods

By using these tools, you acknowledge and agree that:

  • Orders submitted represent legitimate customer purchases

  • You are solely responsible for customer-facing transactions

  • You will not submit fraudulent, test, or duplicate orders

  • Fulfillment may pause if required funding is unavailable

Evolve BioPep reserves the right to reject or suspend order submission for non-compliance or operational reasons.

7. Fulfillment Funding (Deposit & Wallet Model)

Participation in the Platform requires a pre-funded fulfillment deposit held with Evolve BioPep.

You acknowledge that:

  • Product and shipping costs are deducted from this balance as orders are fulfilled

  • Deposit requirements are determined during application review

  • Orders may pause automatically if the balance is depleted

  • You are responsible for replenishing the balance using approved top-up methods

EvolveBioPepTech does not extend credit or guarantee fulfillment without sufficient funds.

8. Intellectual Property

All Platform content, including but not limited to:

  • Documentation

  • Data structures

  • APIs

  • Code

  • Processes

  • Branding and layouts

is the property of EvolveBioPepTech, Evolve BioPep, or their licensors and is protected by applicable intellectual property laws.

No rights are granted except as expressly stated in these Terms.

9. Prohibited Activities

You agree not to:

  • Attempt unauthorized access to systems or data

  • Interfere with Platform functionality or security

  • Bypass rate limits or authentication controls

  • Scrape or harvest Data outside approved feeds

  • Mislead customers regarding product purpose or use

Violations may result in immediate termination and potential legal action.

10. Disclaimer of Warranties

The Services and Data are provided “as is” and “as available.”

We make no warranties regarding:

  • Accuracy or completeness of Data

  • Platform availability or uptime

  • Error-free operation

  • Fitness for any particular purpose

Use of the Services is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, EvolveBioPepTech shall not be liable for:

  • Business losses

  • Lost revenue or profits

  • Data inaccuracies

  • Integration failures

  • Platform interruptions

  • Unauthorized account access

Your sole remedy is to discontinue use of the Services.

12. Modifications to the Services

We may modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.

13. Changes to These Terms

We may update these Terms periodically.
Changes are effective upon posting. Continued use of the Platform constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Maine, without regard to conflict-of-law principles.
