Sync product data, inventory, and order workflows for the EvolveBioPep dropship network.

Partner Agreement

This Partner Agreement (“Agreement”) is entered into between EvolveBioPepTech (“the Platform”), Evolve BioPep(“Supplier”), EMS Backend Services LLC (“Technology Provider”), and the approved partner (“Partner,” “you,” or “your”).

By applying for partner access, executing this Agreement, or using any portion of the Platform, you agree to be bound by the following terms.

1. Purpose of Agreement

This Agreement governs the Partner’s participation in the EvolveBioPepTech program, including use of:

Supplier product data feeds
Inventory synchronization
Order submission tools
Fulfillment coordination with Supplier
Website hosting and infrastructure
Technical support and maintenance

Participation is permitted only upon approval by EvolveBioPepTech and may be revoked at any time for noncompliance.

2. Supplier-Only Product Program

Partner acknowledges and agrees that:

Partner storefronts may list and sell only products supplied and approved by Evolve BioPep
Partner may not list partner-owned, third-party, or unrelated products
Product catalog access is controlled exclusively by the Platform

Any attempt to list unauthorized products is grounds for immediate suspension or termination.

3. Fulfillment Deposit & Wallet Requirement

To enable fulfillment services, Partner must maintain a pre-funded fulfillment deposit held with Evolve BioPep.

Key Terms:

Deposit funds are used exclusively for:
- Product costs
- Shipping costs associated with fulfilled orders
Deposit amounts are not fixed and are determined during the Partner application review process
Deposit balances are reduced incrementally as orders are fulfilled
Orders will pause automatically if the deposit balance is depleted

Partner agrees to replenish the balance as needed using the self-serve top-up system to resume fulfillment.

Failure to maintain sufficient funds is grounds for immediate suspension.

4. Pricing Authority (Retail)

Partner may:

Set retail prices
Offer promotions or discounts
Determine margins

Partner may not:

Imply human use
Imply medical, therapeutic, or performance outcomes
Suggest treatment value

Pricing language must remain compliant at all times.

5. Mandatory Hosting & Managed Infrastructure

All Partner storefronts must be hosted, managed, and supported exclusively by EMS Backend Services LLC.

This requirement exists to ensure:

Compliance enforcement
Data and SKU integrity
Platform security
API reliability

External hosting, mirroring, or duplication of Platform-connected storefronts is prohibited and voids Partner status.

6. Platform Fees & Services

A. One-Time Setup Fee

Partner agrees to pay a non-refundable $495 setup fee, which includes:

Storefront build or configuration
Platform onboarding
Integration configuration
Product feed and inventory sync setup
Initial testing and deployment

Setup must be completed before Partner services are activated.

B. Monthly Platform & Support Fee — $495 / Month

Partner agrees to maintain a $495 monthly platform fee, which includes:

Managed website hosting (one storefront)
Full website management
Unlimited content and configuration updates (within scope)
Product feed integration
Inventory synchronization
Order routing configuration
Security updates and maintenance
Ongoing integration support

This pricing is exclusive to EvolveBioPepTech partners and is not tied to public retail rates.

C. Optional Add-On Marketing Services

The following services are not included in the monthly platform fee and are optional:

SEO optimization
Ongoing SEO campaigns
Social media management
Paid advertising (e.g., Google Ads)
Content creation and strategy

D. Hosting Enforcement

If hosting fees lapse:

Platform access may be suspended
Product feeds may be disabled
API keys may be revoked
Storefronts may be unpublished

No refunds are issued during suspension caused by nonpayment.

7. Payment Processing Responsibility

Partner is solely responsible for:

Merchant account setup and maintenance
Payment processing
Chargebacks, disputes, and refunds
Fraud prevention
Compliance with processor rules

Neither EvolveBioPepTech, Evolve BioPep, nor EMS Backend Services LLC processes customer payments on behalf of Partner.

8. Compliance With Research-Only Restrictions

Partner must strictly adhere to all compliance requirements, including but not limited to:

Displaying “For Laboratory Research Only — Not for Human Consumption” notices
Using only approved product descriptions
Avoiding all health, medical, or performance claims
Prohibiting testimonials implying human use
Avoiding comparisons to prescription drugs

Violations result in immediate termination without refund.

9. Use of Product Data & Intellectual Property

Partner is granted limited, revocable access to:

Product data
Inventory data
Images and descriptions
Certificates of Analysis (where applicable)

Partner may not:

Redistribute or resell Platform data
Share feeds with third parties
Build competing systems
Reverse engineer Platform functionality

All data remains the property of Evolve BioPep.

10. Order Submission Requirements

Partner may submit orders using approved methods, including:

API submission
CSV upload
Other approved automation methods

Partner must ensure:

Orders represent legitimate customer purchases
Shipping information is accurate
SKUs match the approved catalog
No test, duplicate, or fraudulent orders are submitted

Supplier reserves the right to reject non-compliant orders.

11. Fulfillment Policies

Orders are fulfilled only when sufficient deposit funds are available
Shipping costs are deducted from the deposit balance
Fulfillment timelines may vary
Supplier is not responsible for carrier delays or losses

12. Partner Website Responsibilities

Partner agrees to:

Maintain accurate, compliant listings
Prevent outdated or misleading content
Follow branding and copyright guidelines
Allow compliance audits at any time

13. Technology Scope & Limitations

EMS Backend Services LLC provides:

Hosting and infrastructure
Platform updates
Security and backups
Integration support

EMS is not responsible for:

Third-party plugins or services
Payment processor limitations
Partner-caused site issues

Extraordinary custom development is billed separately.

14. Suspension & Termination

Partner may be suspended or terminated for:

Nonpayment
Deposit depletion
Hosting lapse
Compliance violations
Misrepresentation
Data misuse
Attempts to bypass Platform controls

Upon termination:

Platform access is revoked
API keys and feeds are disabled
Hosting may be shut down
No refunds are issued

15. Limitation of Liability

The Platform, Supplier, and Technology Provider are not liable for:

Lost revenue or profits
Fulfillment delays
Carrier issues
Payment processor actions
Platform interruptions

Partner assumes all business risk.

16. Partner Acknowledgment

Partner acknowledges that:

They operate an independent storefront
They control pricing and customer relations
They assume legal responsibility for marketing and operations
Products are for research use only
Compliance is mandatory

17. Governing Law

This Agreement is governed by the laws of the State of Maine.

18. Acceptance

By applying, enrolling, or using the Platform, Partner agrees to all terms herein.
